Acceptable Use Policy
Thank you for choosing Mediagenix’proprietary software suite, products, services and website (the “Services”). This Acceptable Use Policy (this “AUP”) contains the guidelines under which Mediagenix (“Mediagenix”, “we”, “us” and/or “our”) and its affiliates provide the Services to its customers and its Authorised Users (“you”, “your”) and describes the proper access and use of the Services by Customer and it’s Authorised Users. This AUP should be read in conjunction with Mediagenix’ Master Services Agreement and/or any other written subscription agreement between you and Mediagenix (the “Agreement”). Capitalised terms not defined herein shall have the meanings ascribed to them in the Agreement.
If you breach this AUP, Mediagenix may deny access, suspend or terminate your use of the Software and Services (or any part thereof). Mediagenix’ right to suspend or terminate your use of the Software or Services will apply even if a breach is inadvertent or without your consent, if Mediagenix believes that suspension or termination is necessary to ensure compliance with the law or to protect the rights, safety, privacy, security or property of Mediagenix, its customers or third parties.
Mediagenix reserves the right to change this AUP at any time by posting a revised version on its website. By using the Services, you agree to be bound by the latest version of this policy.
1. Interruption of services
The examples set out in this AUP are not exhaustive. You agree not to use, and not to encourage or permit any Authorised User to use, the Software and Services in any of the following prohibited ways:
- Modify, reverse engineer, hack or attempt to hack, or otherwise discover the source code or underlying ideas or algorithms, limitations or vulnerabilities of the Services;
- In a manner that facilitates or otherwise promotes (a) any illegal, fraudulent or abusive activity or (b) materially interferes with Mediagenix’ business or activities or harms any of its Authorised Users;
- Sell, resell, license, sublicense, provide, lease, rent, time-share, service bureau, or otherwise use or permit others to use the Services for the benefit of any third party, except as permitted by the Agreement;
- Attempting to bypass or defeat the security mechanisms of the Software and Services, or otherwise using the Software and Services in a manner that creates a security or service risk to Mediagenix or any of its Authorised Users;
- Use the Software and Services to interfere with or disrupt the integrity or performance of the Software and Services (or any component thereof) or attempt to gain unauthorised access to the Software and Services or any related systems or networks;
- Permit direct or indirect access to or use of the Software and Services for any form of excessive and unwanted automated activity, such as spamming; harassment; inauthentic interactions, such as the creation or use of fake accounts and automated inauthentic activities;
- Transmit, store, use, display, distribute or otherwise make available any content, data or technology that may damage, interfere with, surreptitiously intercept or expropriate any system, program or data, including without limitation viruses, Trojan horses, bots, worms, scripting exploits, time bombs or other malicious code;
- For any unlawful purpose or to violate or encourage or facilitate the violation of any law (including without limitation data protection, privacy, consumer protection and export control laws);
- In any manner that would result in the infringement, dilution, misappropriation or other violation of any intellectual property or proprietary rights of Mediagenix or any other third party, including but not limited to copyrights and rights arising from patents, trademarks and trade secrets; or
- Processing any personal data without their consent or for any purpose other than that for which the authorisation of use can be documented.
2. Responsibility
2.1 Customers and Authorised Users are responsible for violations of this AUP, whether by (i) yourself, (ii) anyone using the Software and Services with your permission, or (iii) unauthorised use of your account. Your use of the Software and Services to assist another person in an activity would violate this AUP if that activity, if performed by you, would be a violation of this AUP. This AUP applies to everyone who accesses or uses the Software and Services.
2.2 In using the Software and Services, it is your responsibility to comply with the AUP and to ensure that you comply with all applicable laws, rules, regulations and generally accepted practices of the Internet community. The prohibited uses described herein are intended as guidelines for improper and inappropriate conduct and should not be construed as an exhaustive list.
